These Terms of Use ("Terms") govern your access to and use of TB Wallet, TBChat, our website, mobile applications, desktop applications, wallet features, communication features, cloud storage features, SocialFi features, payment features, and all related products and services operated by Oasis Digital Solutions - F.Z.E.

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms, our Privacy Policy, Refund and Cancellation Policy, and any additional terms incorporated by reference.

If you do not agree to these Terms, you must not access or use our Services.

For the purposes of these Terms, "Company," "we," "us," or "our" refers to Oasis Digital Solutions - F.Z.E.

II. Definitions

For the purposes of these Terms:

  • "TB Wallet" means the non-custodial cryptocurrency wallet products and related wallet services operated or made available by the Company.
  • "TBChat" means the Web3 super app operated or made available by the Company, including instant messaging, cloud storage, SocialFi, wallet, and related features.
  • "Services" means TB Wallet, TBChat, our website, mobile applications, desktop applications, wallet features, chat features, cloud storage features, SocialFi features, QR scanning features, payment-related features, and all related products, services, software, and content.
  • "Digital Assets" means cryptocurrencies, tokens, stablecoins, blockchain-based assets, or other digital representations of value.
  • "Non-Custodial Wallet" means a wallet where users control their own seed phrases, private keys, and Digital Assets.
  • "Seed Phrase" or "Mnemonic Phrase" means the recovery phrase used to access or restore a wallet.
  • "Private Key" means a cryptographic key that controls access to Digital Assets.
  • "Partner Payment Services" means payment services provided by third-party payment partners, including AEON Pay where available, that may allow users to make crypto-to-fiat payments through supported QR codes, bank transfers, local payment rails, or other payment methods.
  • "AEON Pay" means a third-party payment partner that may be made available through TB Wallet or TBChat, where supported.
  • "Third-Party Merchant" means a merchant, seller, service provider, or payment recipient that is not the Company.
  • "Local Payment Rail" means a local QR payment system, bank transfer system, mobile money network, or other fiat payment infrastructure supported by a payment partner.
  • "User Content" means any content, message, file, image, video, audio, post, comment, reply, profile information, or other material that you upload, publish, transmit, store, send, or make available through the Services.

III. Eligibility and User Representations

By accessing or using the Services, you represent and warrant that:

  • (a) you are of legal age to enter into a binding agreement under the laws applicable to you;
  • (b) you have not been previously suspended, restricted, or removed from using the Services;
  • (c) you are not located in, resident in, incorporated in, or otherwise connected with any jurisdiction where use of the Services is prohibited by applicable law or by our policies;
  • (d) you are not subject to any sanctions, trade restrictions, asset freezes, or similar legal restrictions;
  • (e) you will use the Services only for lawful purposes;
  • (f) if you use the Services on behalf of a company or legal entity, you have full authority to bind that entity to these Terms.We may refuse, restrict, suspend, or terminate your access to the Services if we reasonably believe that you do not meet these eligibility requirements.

IV. Description of Services

TBChat is a Web3 super app that may include instant messaging, group chat, secret rooms, audio and video calls, cloud storage, SocialFi, QR code scanning, wallet address identity, and non-custodial wallet features.TB Wallet is a non-custodial wallet interface that allows users to create, import, manage, and use supported blockchain wallets and Digital Assets.The Services may allow users to:

  • (a) create or import a wallet;
  • (b) manage wallet addresses;
  • (c) send, receive, or view supported Digital Assets;
  • (d) use QR codes for wallet, identity, contact, or payment-related functions;
  • (e) access third-party DApps, payment partners, or Partner Payment Services;
  • (f) use communication, storage, and social features;
  • (g) view transaction records, payment records, or service records where technically available.We may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.

V. Non-Custodial Wallet

TB Wallet is a non-custodial wallet.This means:

  • (a) the Company does not hold your Digital Assets on your behalf;
  • (b) the Company does not control your Digital Assets;
  • (c) the Company does not store, manage, or have access to your Private Keys;
  • (d) the Company does not store, manage, or have access to your Seed Phrase or Mnemonic Phrase;
  • (e) you are solely responsible for safeguarding your Seed Phrase, Private Keys, PIN, password, device, and wallet access credentials.The Company will never ask you to provide your Seed Phrase, Mnemonic Phrase, or Private Key.You must not share your Seed Phrase, Mnemonic Phrase, or Private Key with the Company, our support staff, payment partners, merchants, or any other person. If you lose your Seed Phrase or Private Keys, the Company may not be able to recover your wallet, account, or Digital Assets.You understand and agree that all transactions initiated from your non-custodial wallet are your responsibility.

VI. User Responsibilities

You are responsible for:

  • (a) maintaining the security of your device, wallet, Seed Phrase, Private Keys, PIN, password, and account credentials;
  • (b) reviewing all transaction details before confirming any transaction;
  • (c) confirming the correct wallet address, merchant, payment amount, token, network, gas fee, exchange rate, and payment partner fee before signing or submitting a transaction;
  • (d) ensuring that you have sufficient Digital Asset balance and sufficient network gas token before initiating a blockchain transaction;
  • (e) complying with all laws and regulations applicable to your use of the Services;
  • (f) ensuring that your User Content does not violate these Terms, applicable law, or third-party rights;
  • (g) backing up any data, files, wallet information, or content that you store or transmit through the Services.The Company is not responsible for losses caused by your failure to secure your wallet, Seed Phrase, Private Keys, account, device, or transaction details.

VII. Blockchain and Digital Asset Risks

You acknowledge and agree that Digital Assets and blockchain transactions involve significant risks.These risks include, but are not limited to:

  • (a) loss of Digital Assets due to loss of Seed Phrase or Private Keys;
  • (b) irreversible blockchain transactions;
  • (c) sending assets to an incorrect wallet address;
  • (d) selecting the wrong blockchain network;
  • (e) insufficient gas fees or failed network transactions;
  • (f) smart contract bugs or vulnerabilities;
  • (g) blockchain congestion, delays, forks, upgrades, or failures;
  • (h) price volatility and exchange rate fluctuations;
  • (i) loss caused by phishing, malware, fraud, scams, social engineering, or unauthorized device access;
  • (j) changes in law, regulation, sanctions rules, or payment partner requirements;
  • (k) suspension, rejection, blocking, or delay of transactions due to compliance, risk-control, or technical reasons.Blockchain transactions may be irreversible once submitted to a blockchain network. The Company cannot cancel, reverse, modify, or recover a confirmed blockchain transaction.Network fees, gas fees, miner fees, validator fees, and similar blockchain-related costs are paid to blockchain networks or validators and are generally non-refundable.

VIII. Supported Assets, Networks, Countries, and Payment Rails

Only certain Digital Assets, tokens, blockchain networks, countries, currencies, payment methods, payment partners, and Local Payment Rails may be supported.Availability may depend on:

  • (a) technical integration;
  • (b) blockchain network status;
  • (c) payment partner support;
  • (d) compliance approval;
  • (e) liquidity;
  • (f) local laws and regulations;
  • (g) sanctions and risk-control requirements;
  • (h) transaction limits;
  • (i) merchant availability.The Company may enable, disable, restrict, suspend, or remove any asset, network, country, payment rail, merchant category, payment function, or service at any time for legal, compliance, risk-control, security, technical, or operational reasons.The availability of a Digital Asset or network in the wallet interface does not mean that such Digital Asset or network is available for Partner Payment Services.

IX. AEON Pay and Partner Payment Services

Where available, TB Wallet or TBChat may allow you to access AEON Pay or other Partner Payment Services.Partner Payment Services may allow users to use supported Digital Assets from their own non-custodial wallet to make crypto-to-fiat payments to supported Third-Party Merchants through supported QR codes, bank transfers, Local Payment Rails, or other payment methods.In such payment flows:

  • (a) you may pay with supported Digital Assets from your own non-custodial wallet;
  • (b) AEON Pay or another payment partner may process, route, convert, settle, or otherwise facilitate the payment;
  • (c) the Third-Party Merchant may receive local fiat currency through supported Local Payment Rails;
  • (d) the Company provides the wallet interface, access point, user-side transaction display, and related support routing where applicable;
  • (e) the Company does not directly control the third-party payment partner, merchant, acquiring partner, settlement provider, or Local Payment Rail.The Company does not guarantee that all merchants, countries, currencies, QR codes, payment rails, tokens, blockchain networks, or transaction amounts will be supported.Partner Payment Services may be subject to the separate terms, conditions, fees, limits, refund rules, cancellation rules, risk controls, privacy policies, and compliance requirements of AEON Pay, other payment partners, merchants, acquiring partners, settlement providers, and Local Payment Rails.By using Partner Payment Services, you agree to comply with the applicable third-party partner terms and rules.

X. Merchant of Record and Payment Recipient

Any dispute relating to goods or services purchased from a Third-Party Merchant should be resolved with that merchant or the relevant payment partner, subject to applicable law.

XI. Payment Confirmation and Transaction Review

Before confirming a payment or blockchain transaction, you are responsible for carefully reviewing all available details, including:

  • (a) merchant name or recipient information;
  • (b) local fiat amount;
  • (c) local fiat currency;
  • (d) Digital Asset amount;
  • (e) token selected;
  • (f) blockchain network selected;
  • (g) wallet address;
  • (h) exchange rate, if applicable;
  • (i) gas fee or network fee;
  • (j) payment partner fee or service fee, if applicable;
  • (k) transaction status and confirmation requirements.Once you approve, sign, submit, or confirm a transaction, cancellation may not be possible.The Company is not responsible for losses caused by user error, including incorrect address, incorrect network, incorrect token, incorrect amount, incorrect merchant, duplicate payment, or mistaken confirmation.

XII. Fees, Exchange Rates, and Gas Fees

You may be charged fees when using the Services or Partner Payment Services.Fees may include:

  • (a) blockchain network fees;
  • (b) gas fees;
  • (c) payment partner fees;
  • (d) exchange, conversion, or spread-related costs;
  • (e) service fees;
  • (f) merchant or Local Payment Rail fees;
  • (g) other charges shown before transaction confirmation where technically feasible.Exchange rates may change rapidly and may differ between the time a quote is displayed and the time a transaction is confirmed or settled.The Company does not guarantee that any displayed exchange rate, fee, or quote will remain available unless expressly stated in the relevant payment interface.You are responsible for reviewing all fees and costs before confirming a transaction.

XIII. Refunds, Cancellations, and Disputes

XIV. Verification, Limits, Compliance, and Risk Controls

Certain Services, wallet functions, payment functions, or Partner Payment Services may be subject to:

  • (a) identity verification;
  • (b) transaction limits;
  • (c) country or region restrictions;
  • (d) sanctions screening;
  • (e) wallet address screening;
  • (f) fraud monitoring;
  • (g) AML/CFT checks;
  • (h) merchant category restrictions;
  • (i) device, IP, or account risk checks;
  • (j) manual review;
  • (k) additional information requests;
  • (l) payment partner approval.We, AEON Pay, payment partners, merchants, acquiring partners, settlement providers, or Local Payment Rails may refuse, suspend, delay, block, freeze, reject, or cancel any transaction or service if required for legal, regulatory, sanctions, AML/CFT, fraud-prevention, security, compliance, technical, operational, or risk-control reasons.Transaction limits may vary by user, country, verification status, payment partner, payment rail, token, network, merchant category, and risk profile.We may require you to provide additional information before allowing access to certain features or before processing a support request, refund request, or dispute review.

XV. Prohibited Uses

You agree that you will not use the Services, TB Wallet, TBChat, AEON Pay, Partner Payment Services, or any related function for:

  • (a) money laundering, terrorist financing, sanctions evasion, fraud, scams, phishing, market manipulation, or illegal activity;
  • (b) violating any applicable law, regulation, court order, sanctions rule, or government requirement;
  • (c) purchasing, selling, or facilitating illegal goods or services;
  • (d) illegal gambling, betting, lottery, or casino activities;
  • (e) adult services or sexually exploitative content where prohibited;
  • (f) weapons, explosives, controlled substances, illegal drugs, counterfeit goods, stolen goods, or prohibited goods;
  • (g) fraudulently obtaining goods, services, Digital Assets, or payments;
  • (h) unauthorized remittance, money transmission, or P2P value transfer;
  • (i) using AEON Pay or Partner Payment Services to fund red packets, lucky money, user-to-user transfers, or internal P2P value transfers unless separately approved and made available;
  • (j) using AEON Pay or Partner Payment Services for fiat-to-crypto purchase, token sale, ICO, IEO, IDO, investment, securities, lending, staking, yield, or similar financial products unless expressly supported and legally permitted;
  • (k) purchasing TB token, TBChain assets, gas, Energy System credits, custom tokens, or unsupported tokens through AEON Pay unless expressly supported and approved;
  • (l) bypassing transaction limits, sanctions controls, KYC requirements, risk controls, or geographic restrictions;
  • (m) using bots, scripts, automation, or abusive patterns to exploit the Services;
  • (n) uploading, storing, posting, sharing, or transmitting illegal, infringing, harmful, abusive, defamatory, obscene, violent, hateful, or otherwise prohibited content;
  • (o) violating intellectual property rights, privacy rights, publicity rights, or other rights of any person or entity;
  • (p) interfering with, disrupting, damaging, overloading, or impairing the Services;
  • (q) attempting to gain unauthorized access to the Services, systems, wallets, accounts, APIs, or networks;
  • (r) introducing malware, viruses, trojans, worms, logic bombs, or other harmful code.We may suspend, restrict, or terminate your access to the Services if we believe that you have violated this section.

XVI. User Content

You are solely responsible for any User Content that you upload, store, publish, transmit, send, share, or make available through the Services.You represent and warrant that:

  • (a) you own or have the necessary rights to your User Content;
  • (b) your User Content does not violate any law, regulation, third-party right, or these Terms;
  • (c) your User Content does not contain illegal, infringing, harmful, abusive, defamatory, obscene, violent, hateful, or prohibited material;
  • (d) your User Content does not contain malware, viruses, or harmful code.You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, reproduce, and technically modify your User Content solely as necessary to operate, provide, secure, improve, and support the Services.We do not claim ownership of your User Content.We may remove, restrict, block, or disable access to User Content if we believe it violates these Terms, applicable law, third-party rights, or our policies.

XVII. Cloud Storage and Data Backup

TBChat may provide cloud storage or related file storage features.You are solely responsible for:

  • (a) ensuring that you have the right to upload and store your files;
  • (b) maintaining backup copies of important data;
  • (c) protecting your passwords and access credentials;
  • (d) ensuring that your stored files comply with applicable law and these Terms.The Company does not guarantee that any cloud storage, file storage, or data transmission feature will be uninterrupted, error-free, permanent, or immune from data loss.To the fullest extent permitted by law, the Company is not responsible for loss, corruption, deletion, unauthorized access, or unavailability of data, except where caused by our intentional misconduct or where liability cannot be excluded under applicable law.

XVIII. Third-Party Services and Content

The Services may contain links to or integrations with third-party websites, applications, DApps, merchants, payment partners, APIs, SDKs, blockchain networks, wallet services, infrastructure providers, or other third-party services.Third-party services may include AEON Pay and other Partner Payment Services.We do not control third-party services and are not responsible for:

  • (a) their content;
  • (b) their availability;
  • (c) their accuracy;
  • (d) their fees;
  • (e) their terms;
  • (f) their privacy practices;
  • (g) their security;
  • (h) their settlement or payment processing;
  • (i) their products or services;
  • (j) their acts or omissions.Your use of third-party services is at your own risk and may be subject to separate third-party terms and privacy policies.

XIX. Intellectual Property

Nothing in these Terms grants you ownership of any intellectual property rights in the Services.

XX. Privacy

By using the Services, you acknowledge that you have read and understood our Privacy Policy.

XXI. Cookies and Similar Technologies

You may manage cookies through your browser or device settings. Some features may not function properly if cookies or similar technologies are disabled.

XXII. Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the Services at any time if:

  • (a) you violate these Terms;
  • (b) you violate applicable law or regulation;
  • (c) you use the Services for prohibited activities;
  • (d) your activity creates legal, regulatory, security, fraud, sanctions, AML/CFT, or operational risk;
  • (e) required by a payment partner, merchant, acquiring partner, Local Payment Rail, regulator, court, or government authority;
  • (f) continued provision of the Services becomes commercially unreasonable or technically impractical;
  • (g) we discontinue or modify the Services.Suspension or termination may affect your access to app features, cloud storage, communication features, payment records, or other Services.Because TB Wallet is non-custodial, suspension of the Services does not give the Company custody or control over your on-chain Digital Assets. However, you remain responsible for maintaining your Seed Phrase and accessing your wallet through compatible tools where applicable.

XXIII. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.The Company does not warrant that:

  • (a) the Services will be uninterrupted, secure, error-free, or available at all times;
  • (b) blockchain networks will operate without delay, failure, congestion, fork, attack, or error;
  • (c) Digital Assets will maintain any value;
  • (d) Partner Payment Services will always be available or successful;
  • (e) any Third-Party Merchant will deliver goods or services;
  • (f) any transaction can be cancelled, reversed, or refunded;
  • (g) any data or content will never be lost, corrupted, or unavailable;
  • (h) any QR code, payment rail, merchant, token, network, or country will be supported.To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.

XXIV. Limitation of Liability

To the fullest extent permitted by applicable law, the Company, its directors, officers, employees, agents, affiliates, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of Digital Assets, or loss of use, arising out of or related to:

  • (a) your use of or inability to use the Services;
  • (b) loss of Seed Phrase, Private Keys, PIN, password, or device access;
  • (c) unauthorized access to your wallet, account, device, or data;
  • (d) user error in entering wallet address, amount, network, token, merchant, or transaction details;
  • (e) blockchain transaction failure, delay, confirmation, reversal impossibility, fork, congestion, attack, or network issue;
  • (f) Digital Asset price volatility or exchange rate changes;
  • (g) third-party services, DApps, merchants, payment partners, Local Payment Rails, or blockchain networks;
  • (h) suspension, blocking, delay, rejection, freezing, or cancellation of transactions for compliance, risk-control, or legal reasons;
  • (i) loss, corruption, deletion, or unavailability of User Content or cloud storage data;
  • (j) phishing, malware, scams, fraud, social engineering, or unauthorized third-party activity.Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

XXV. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, affiliates, contractors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • (a) your use of the Services;
  • (b) your User Content;
  • (c) your violation of these Terms;
  • (d) your violation of applicable law or regulation;
  • (e) your violation of third-party rights;
  • (f) your misuse of Digital Assets, blockchain networks, Partner Payment Services, or Third-Party Merchant services;
  • (g) your fraud, misconduct, negligence, or unauthorized activity;
  • (h) any dispute between you and a Third-Party Merchant or third-party service provider.

XXVI. Force Majeure

The Company shall not be liable for any failure or delay caused by events beyond our reasonable control, including:

  • (a) natural disasters;
  • (b) war, terrorism, riots, civil unrest, or government action;
  • (c) labor disputes;
  • (d) power failure or internet failure;
  • (e) communication network failure;
  • (f) blockchain network congestion, failure, attack, fork, or upgrade;
  • (g) failure of third-party service providers, payment partners, acquiring partners, Local Payment Rails, or infrastructure providers;
  • (h) regulatory changes or enforcement actions;
  • (i) sanctions, court orders, or government restrictions;
  • (j) cyberattacks, malware, or security incidents beyond our reasonable control.

XXVII. Changes to the Services and Terms

We may update these Terms from time to time. If you do not agree to the updated Terms, you must stop using the Services.

XXVIII. Assignment

The Company may assign or transfer any rights or obligations under these Terms to an affiliate, successor, acquirer, or other entity in connection with a merger, acquisition, restructuring, asset transfer, change of control, or business operation, subject to applicable law.

XXIX. Severability

The invalid, illegal, or unenforceable provision will be interpreted or replaced to the maximum extent permitted by law to achieve its intended purpose.

XXX. No Waiver

A waiver must be in writing to be effective.

XXXI. Entire Agreement

If there is a conflict between these Terms and additional product-specific terms, the product-specific terms will control only for the relevant product or feature.

XXXII. Governing Law and Dispute Resolution

Appendix A: AEON Pay / Partner Payment Risk Notice

Where AEON Pay or other Partner Payment Services are available, please read this notice carefully before using such services.Partner Payment Services may allow you to use supported Digital Assets from your own non-custodial wallet to make payments through supported local QR codes, bank transfers, or other Local Payment Rails.Before confirming a payment, you must carefully review:

  • (a) merchant name;
  • (b) payment amount;
  • (c) local fiat currency;
  • (d) token selected;
  • (e) blockchain network selected;
  • (f) estimated exchange rate;
  • (g) network gas fee;
  • (h) payment partner fee;
  • (i) total amount to be deducted;
  • (j) transaction status and confirmation requirements.Blockchain transactions may be irreversible once submitted. Network fees and gas fees are generally non-refundable.TB Wallet does not custody your assets, does not hold your Private Keys, and cannot recover your Seed Phrase or reverse confirmed blockchain transactions.Supported countries, payment rails, tokens, networks, limits, fees, refunds, cancellation rules, settlement timing, and dispute handling are subject to AEON Pay, local payment partners, merchants, blockchain networks, and applicable law.

Appendix B: Excluded AEON Pay Use Cases

Unless expressly supported, approved, and made available, AEON Pay and Partner Payment Services through TB Wallet must not be used for:

  • (a) fiat deposit into TB Wallet;
  • (b) wallet balance top-up;
  • (c) fiat-to-crypto purchase;
  • (d) crypto exchange or swap;
  • (e) TB token purchase or sale;
  • (f) ICO, IEO, IDO, or token fundraising;
  • (g) TBChain gas or native coin purchase;
  • (h) gas fee top-up;
  • (i) TRON Energy System purchase;
  • (j) red packet or lucky money funding;
  • (k) user-to-user transfer;
  • (l) P2P remittance;
  • (m) cash-out to user bank account;
  • (n) lending, staking, yield, investment, or securities-related products;
  • (o) gambling, betting, adult content, weapons, illegal drugs, counterfeit goods, or other prohibited goods and services.This Appendix is intended to clarify the initial compliance scope of TB Wallet's Partner Payment Services.
